Inhalt: This advanced course focuses on the main components of EU Company Law. We will discuss in turn: the origins and future of European Company Law, the formation of a Societas Europaea, legal aspects of corporate finance, corporate governance, directors’ remuneration and finally, capital markets, takeover regulation and trusts. The course is organised around case/document studies and text discussions. All material is to be read at home by all participants, prior to in-class sessions. All students are expected to actively participate in the discussions.
